These Terms of Service (“Terms”) govern your access to and use of the Terraflare.ai website, AI-powered advertising platform, APIs, software, and related services (collectively, the “Services”), provided by Shenzhen Yantu Technology Co., Ltd. (the “Company”, “Terraflare”, “we”, “our” or “us”).

By accessing or using the Services, you (“you”, “your” or the “Customer”) agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

1. Eligibility & Account Registration

• You must be at least 18 years old to use the Services.
• You agree to provide accurate, complete, and up-to-date information when registering an account.
• You are responsible for all activities that occur under your account and for keeping your login credentials secure.
• We reserve the right to suspend or terminate your account if you provide false information or breach these Terms.

2. Services

• Terraflare provides AI-driven advertising tools, data analytics, and automated optimization features, focusing on the intelligent management and performance enhancement of the Amazon advertising platform.
• Our advertising recommendations are based on analysis of sales, traffic, and advertising performance metrics using AI models and statistical algorithms. While we strive to ensure the accuracy of model outputs, the results are estimations and may vary depending on data freshness and market changes. All recommendations are generated exclusively from each authorized seller's individual account data. We do not aggregate, share, or benchmark data across different sellers.
• Some features may be offered in Beta version and are provided “as is” without warranties.
• We may modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. Subscription, Fees & Payment

• Certain features of the Services are available under a paid subscription. Pricing is available on our website.
• Fees are billed in advance on a monthly or annual basis (unless otherwise agreed).
• Payments are processed via third-party payment providers (e.g., Stripe, PayPal). We do not store your full credit card information.
• Subscriptions automatically renew unless canceled before the renewal date.
• All fees are non-refundable, except as required by applicable law.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose;
• Interfere with the operation of the Services or attempt unauthorized access;
• Infringe the intellectual property rights of Terraflare or any third party;
• Distribute prohibited content (e.g., spam, malware, hate speech, discriminatory material);
• Circumvent the rules or policies of advertising platforms (e.g., Amazon Ads).

5. Intellectual Property

• Terraflare retains all rights, title, and interest in and to the Services, including all software, algorithms, models, content, and documentation.
• You are granted a limited, non-exclusive, non-transferable license to use the Services for your own internal purposes.
• AI Outputs: You may use outputs generated by the Services for lawful business purposes, subject to applicable laws and these Terms. Terraflare does not guarantee the uniqueness or accuracy of such outputs.

6. Data Protection & Privacy

• Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
• You acknowledge that we may process your advertising data and usage logs to provide, maintain, and improve the Services.
• You retain ownership of your data, but you grant us a license to process it to deliver the Services.

7. Termination

• You may stop using the Services at any time.
• We may suspend or terminate your access if you breach these Terms, the Privacy Policy, or applicable laws.
• Upon termination, your account will be deactivated, and your data will be deleted or anonymized in accordance with our Privacy Policy.

8. Disclaimers & Limitation of Liability

• The Services are provided “as is” and “as available” without warranties of any kind.
• We do not guarantee the uninterrupted availability of the Services or the accuracy of advertising performance results.
• To the maximum extent permitted by law, Terraflare shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability to you for any claims arising under these Terms shall not exceed the total fees you have paid us in the last 12 months.

9. Indemnification

You agree to indemnify, defend, and hold harmless Terraflare and its affiliates from and against any claims, damages, losses, liabilities, or expenses arising out of:

• Your use of the Services;
• Your violation of these Terms; or
• Your infringement of any third-party rights.

10. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the People’s Republic of China, without regard to its conflict of law principles.
• We encourage you to contact us directly to resolve any disputes amicably.
• If the dispute cannot be resolved through negotiation, it shall be submitted to arbitration in Shenzhen, China, administered by the Shenzhen Court of International Arbitration (SCIA) or China International Economic and Trade Arbitration Commission (CIETAC) under their then-effective rules. The language of arbitration shall be English or Chinese.
• The arbitration award shall be final and binding.

⚠️ If you are located outside of China, you agree that these Terms do not violate the mandatory laws of your jurisdiction and that you may seek remedies under local law where permitted.

11. Changes to Terms

• We may update these Terms from time to time. The latest version will always be available on this page.
• If we make material changes, we will notify you via email or through the Services.
• Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
